COMMONS REWARDS PROGRAM TERMS AND CONDITIONS

The Commons Rewards Program was updated in November 2024 and will continue until terminated, suspended, modified, or converted to another referral or rewards program by us. We may, in our sole discretion, modify or update these Terms from time to time, and so you should review this page periodically. Unless we say otherwise, the amended Terms will be effective immediately and your continued participation in the Commons Rewards Program after the amended terms are posted will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop participating in the Commons Rewards Program.

If you do not agree to the entirety of these Terms, you are not authorized to participate in the Commons Rewards Program in any manner. You may not participate in the Commons Rewards Program where doing so would be prohibited by any applicable law, regulation, or professional code of conduct. We further reserve the right to disqualify any participant at any time from participation in the Commons Rewards Program if you do not comply with these Terms. Our failure to enforce any term of these Terms shall not constitute a waiver of that provision.

The Commons Rewards Program allows you to earn the rewards described in these Terms when you participate in eligible activities, and to redeem those rewards in the form of cashback credited to your available account balance or, alternatively, a points redemption that we may offer. To be eligible to redeem rewards through the Commons Rewards Program, you must provide at least one (1)  active, valid, United States or Canadian credit card, debit card, or bank account in your name that is linked via Plaid to the Commons app (“Financial Account”). A list of the financial institutions that can be linked via Plaid can be found here. Any person engaging in fraudulent behavior, as we may determine in our sole and absolute discretion, will be ineligible to participate. 

‍If you are eligible to participate, you may earn points for making sustainable choices in the Commons app which will be redeemable pursuant to these Terms (the “Seeds”). The Seeds you earn may be awarded based on the types of activities described in Section 4 below. The number of Seeds given to a user is for a qualifying transaction or activity will be at the sole discretion of Commons, Your Financial Account must have a healthy, authorized connection and at least one (1) transaction in the last 30 days to redeem your Seeds for rewards at any given time. There is no minimum spending threshold to qualify for rewards.

You understand that the rewards are not transferable, may not be auctioned, bartered or sold, and may not be pooled with other participants. The rewards are promotional in nature and are issued without any exchange of money or value from you to us. As such, the rewards do not constitute property and you do not have a vested property right or interest in the rewards.

You may earn Seeds by participating in activities that we deem eligible in our sole discretion, including but not limited to: (a) key progression actions in the app towards carbon tracking (e.g. account creation, card connection, carbon survey completion), (b) making Climate-Friendly Purchases (as defined below) at Commons-eligible brands, and (c) taking meaningful climate action in the app (e.g. Starting Composting, or Offsetting a Flight).

For the purposes of these Terms, “Climate-Friendly Purchases” refers to transactions made with any of the brands Commons recognizes, either for their lower-emissions business models or for being a brand that Commons has deemed a top pick or featured partner (collectively, “Eligible Brands”). You can browse Eligible Brands in the “Brands” tab of the Commons app.

You will not receive a reward of Seeds for transactions that are deemed ineligible. We reserve the right to decline an award of Seeds if any of the following occur:

(a) If you purchase any Eligible Brands’ products from third-party retailers, which Commons cannot associate with the Eligible Brand directly.
(b) If you make a Climate-Friendly Purchase from an Eligible Brand in a given month, but also receive a return or a refund from the same Eligible Brand for the same amount in that month, then we reserve the right to exclude that transaction from your earned points.
(c) If we suspect that you are engaged in any gaming, or any abusive or other suspicious behavior, with respect to your account or the Commons Rewards Program.
(d) If You have violated any provision of the Agreement.

Seeds earned will be eligible for redemption for 12 months following the date that a particular Seed, or set of Seeds, is earned by you (“Eligible Period”). Once the Eligible Period has elapsed, the Seeds will expire and you will no longer be able to redeem the Seeds which will be removed from your account. 

Seeds can be redeemed as brand rewards or offsets.

(a) Brand Rewards. Seeds can be redeemed for gift cards or discounts at partner brands. We reserve the right to change this redemption rate at any time, in our sole discretion, with no notice.

(b) Offsets. You can choose to redeem your rewards as carbon offsets from the Commons Carbon Portfolio. You can see more details about the projects you support via the Commons Carbon Portfolio here. You may be required to subscribe to the monthly Commons Climate Neutral Subscription to redeem these rewards. You will be asked before subscribing and may cancel your subscription at any time before being charged at no cost.

Transaction processing time may vary – it may take us between a few hours to a few days to process transactions associated with your Financial Account. Only those transactions that we have processed by the month’s end, before any reward redemption, will count towards determining the Seeds that are eligible for redemption for that month.

Transaction data from your Financial Account is retrieved securely from Plaid and stored in an encrypted format. You may request the deletion of your personal data at any time by sending us an email at info@thecommons.earth.

We are dedicated to honoring the Commons Rewards Program. However, we reserve the right to adjust rewards payouts for all participants (or any number of participants) should circumstances arise which affect our ability to maintain the payouts, whether or not we have been informed of the possibility. You understand that while we endeavor to be as accurate as possible, your Seeds may not accurately reflect the transactions made in your Financial Account. Financial transactions that we receive from Plaid may have errors, and due to the difficulties in recognizing vendor names and appropriately categorizing transactions, Commons may not always get reward amounts correct. WE WILL NOT BE RESPONSIBLE FOR ANY ERRORS, NEGLIGENCE, LOSSES, DAMAGES, OR ANY KIND ARISING FROM OR IN CONNECTION WITH THE COMMONS REWARDS PROGRAM.

The Commons Reward Program is void where prohibited by law. We reserve the right to modify or terminate the Commons Rewards Program, these Terms, or any individual participant’s ability to participate in the Commons Rewards Program, at any time for any reason. You agree that the laws of the State of California, excluding its conflict of laws rules, shall exclusively govern any dispute arising out of these Terms. You agree that all claims and disputes may be litigated exclusively in the federal or state courts in San Francisco County, California, and that you agree to personal jurisdiction in those courts.

These Terms supplement and are subject to the Commons TOS which is hereby incorporated by reference. To the extent any conflict or inconsistency arises between the provisions in these Terms and any other applicable terms, these Terms shall control.
